Content Provider Agreement
Last updated October 4, 2026
This Content Provider Agreement applies to every artist, model, performer, producer, uploader, or other person who submits content to Toecial. It is separate from the Terms & Conditions and must be accepted before artist publishing access is granted.
1) Adult age and identity verification
- You certify that you are at least 18 years old.
- You agree to complete government-document-based identity and age verification when requested. Verification may be performed through a third-party provider, including Didit, or through an approved in-person verification process, including at local events.
- Online verification may require a government-issued ID, selfie or liveness check, face-match review, and related fraud-prevention/session data. In-person verification may require presenting a government-issued ID, signing a release or verification form, and allowing Toecial to retain compliance records where required.
- You agree not to submit content until all required verification and compliance checks are complete.
2) People depicted in content
For every person depicted in any photo, video, audio/video recording, or other uploaded media, you certify and agree that:
- The person was at least 18 years old at the time the content was created.
- The person's identity and age were verified using valid government-issued identification.
- The person knowingly and voluntarily consented to being depicted in the content.
- The person consented to publication, distribution, sale, licensing, and platform display of the content.
- The person consented to download of the content where download access is enabled by the platform or purchase terms.
3) Required records
You must maintain accurate records sufficient to prove identity, age, ownership, and written consent for every person depicted in your content, including any required 18 U.S.C. Section 2257 records and model releases. You agree to provide those records promptly if requested for legal, compliance, payment processor, card-network, or complaint-review purposes. You may download our standard Model Release & 2257 Form (PDF) or Word (.docx).
The uploader is automatically recorded as a depicted performer on every upload. Every other depicted performer must be tagged using their platform username. Accepting a depiction/collaboration tag records that performer's consent to depiction, public distribution, and downloading. Content cannot be published until every tagged performer has accepted and has completed identity and age verification.
4) Prohibited content and conduct
You must not upload, sell, promote, request, or facilitate content or activity involving:
- Minors or any child sexual abuse material, including simulated or implied minor exploitation.
- Non-consensual content, coercion, force, fraud, trafficking, blackmail, or exploitation.
- Content created while a depicted person was unconscious, incapacitated, drugged, or unable to consent.
- Violence, threats, hate, bestiality, incest, illegal services, prostitution, or any other unlawful content.
- Content for which you do not own or control the necessary rights, releases, licenses, and permissions.
5) Rights granted to the platform
You retain ownership of content you lawfully create and upload. You grant Toecial a license to host, store, process, display, transmit, promote, sell, license, and otherwise use the content as needed to operate the service, provide purchases or subscriptions, enforce policies, comply with law, and process refunds, disputes, chargebacks, or takedown requests.
6) Complaints, removals, and cooperation
You agree to cooperate with any complaint, content removal request, consent dispute, age-verification inquiry, 2257 inquiry, processor review, or law-enforcement request. If we determine that content was uploaded without required consent, documentation, rights, or legal compliance, we may remove or restrict the content and suspend or terminate the account.
See the Complaints & Content Removal Policy and the Anti-Trafficking Statement.
7) Payment processor and card-network compliance
You agree to comply with applicable CCBill, payment processor, payment card association, legal, tax, and platform rules. Content may be rejected, removed, or restricted if required by processor, bank, card-network, or legal compliance standards.
8) Artist earnings, holds, reversals, and payouts
- Customer payments are collected by the platform's authorized billing processor and settle to the platform merchant account. The billing processor does not automatically pay each artist or collaborator.
- At payment time, the platform records each artist's share in an immutable earnings ledger using the accepted collaboration split then in effect. Later split changes do not rewrite completed sales.
- Artist earnings are the artist's allocated share less the platform fee, allocated processor fees, refunds, chargebacks, returns, withholding, and any other amount disclosed at the time of sale or required by law.
- Positive earnings remain pending until processor reconciliation and the displayed risk hold are complete. Refunds, chargebacks, voids, and returns may be deducted immediately from pending or available earnings, a payout reservation, or future earnings.
- A payout may be requested only after the available balance reaches the displayed minimum and payout identity, tax, sanctions, and destination checks are complete. A request reserves the requested balance but is not proof that money was sent.
- Completed payouts are made by the platform through its approved payout provider or bank workflow. Provider, bank, currency-conversion, intermediary, or receiving-bank fees may apply where disclosed by that provider.
- The platform may delay, reject, reverse, or hold a payout when required for fraud review, chargeback exposure, sanctions screening, legal process, missing records, processor restrictions, or a negative artist balance.
- Artists must keep their legal name, address, tax classification, taxpayer documentation, and payout destination accurate. The platform may furnish and file information returns when required; artists remain responsible for their own tax returns and tax advice.
